These Terms of Service (“Terms”) govern your use of this website and the services offered by CloudTHQ LLC (“CloudTHQ,” “we,” “us,” or “our”). By using our website or engaging our services, you agree to these Terms.

Our services

CloudTHQ provides full-stack software development and technology consulting services, including web development, mobile app development, cloud engineering (AWS & Azure), AI-enabled solutions, dedicated remote development teams, UI/UX design, and digital marketing services. Specific deliverables, timelines, and fees for any engagement are set out in a separate proposal, statement of work, or contract agreed with the client.

Engagements and payment

Project scope, pricing, payment schedule, and milestones are defined per engagement in a signed proposal or agreement between CloudTHQ and the client. Unless otherwise agreed in writing, invoices are due within the payment terms stated on the invoice. Late payments may result in a pause of active work until the account is brought current.

Intellectual property

Unless otherwise agreed in a signed statement of work, ownership of custom deliverables transfers to the client upon full payment for the applicable engagement. CloudTHQ retains ownership of its own pre-existing tools, frameworks, and know-how used to deliver the work, and grants the client a license to use any such components embedded in the final deliverable.

Confidentiality

Both parties agree to keep confidential any non-public business, technical, or project information shared during an engagement, and to use it only for the purpose of the engagement.

Warranties and limitation of liability

We perform our services using commercially reasonable skill and care. Except as expressly agreed in a signed contract, our services and this website are provided “as is” without additional warranties. To the fullest extent permitted by law, CloudTHQ’s total liability for any claim arising from an engagement is limited to the fees paid for the specific service giving rise to the claim.

Termination

Either party may terminate an active engagement in accordance with the notice period and terms set out in the applicable signed agreement. See our Refund & Cancellation Policy for details on fees related to cancellation.

Governing law

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of law principles.

Changes to these Terms

We may update these Terms from time to time. The “Last updated” date above reflects the most recent revision. Continued use of our website or services after changes take effect constitutes acceptance of the revised Terms.
